Monitoring: We have the right but not the obligation to monitor, edit, or remove User Content. We take no responsibility for User Content.

THE INFORMATION ON THIS SERVICE IS PROVIDED ON AN "AS-IS" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, THE FRESH ECHO DAILY EXCLUDES ALL REPRESENTATIONS, WARRANTIES, CONDITIONS, AND GUARANTEES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We make no representations about the accuracy, reliability, completeness, or timeliness of the Content or about the results to be obtained from using the Service. You use the Service at your own risk.

10. Limitation of Liability

WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

AGGREGATE LIABILITY CAP: Our total liability to you for all damages shall not exceed $100 CAD or the amount you paid us in the past 12 months, whichever is greater.

You agree to defend, indemnify, and hold harmless The Fresh Echo Daily and its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your User Content
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations

By Us: We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. All provisions that should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. Material changes will be posted on this page and the "Last updated" date will be revised.

Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.

17. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the courts of Ontario, Canada. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

18. Dispute Resolution

Informal Resolution: Most disputes can be resolved informally. Before filing any formal legal action, you agree to contact us at legal@freshechodaily.com to seek a resolution.

Binding Arbitration: If informal resolution fails, any dispute arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the Ontario Arbitration Act. The arbitration shall be conducted in English in Ontario, Canada.

Exceptions: Either party may seek equitable relief in court for intellectual property infringement or other urgent matters.

19. Class Action Waiver

YOU AND THE FRESH ECHO DAILY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

20. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired thereby. The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.

21. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section shall be void.

22. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

23. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and The Fresh Echo Daily concerning the Service and supersede all prior or contemporaneous communications and proposals between you and us.
